Newspaper Classified Ads Booking

Buy Media Space, hereinafter referred to as ‘BMS’ is an online marketplace for media and advertising industry wherein clients and media owners can meet each other, interact and close a mutually benefitting outdoor advertisement deal. BMS is structured as the one stop shop for all your outdoor marketing activities so as to make your advertising campaigns effective and as easy as possible.

Newspaper Classified Advertisement Bookings - Terms and Conditions:

Definitions:

Ad/Advertisement shall mean any advertisement provided by “Client” or “Agency” on behalf of the “Advertiser”.

Ad Content shall mean any artwork, copy or website domain name or active URLs used for “Ads”

Advertiser shall mean either the end-user of the BMS platform for booking own “Ads” OR who has availed the service of an “Agency” (third party service provider) to book “Ads”.

Affiliate shall mean any person/a firm/ body corporate or any other legal entity that is authorized to represent BMS in business transactions that shall have/carry valid proof of such affiliation with BMS.

Agency shall mean a third party service provider who make use of BMS platform either for their own “Ads” OR who uses BMS platform for and on behalf of their client.

Client shall mean the end-user of BMS platform who had availed the service of BMS and who shall be bound to pay BMS the applicable Fee/Charges fixed by BMS.

Deliverable/ Deliverables shall mean the inventory (the desired action of the “Client”) delivered by the “Media Company”.

IO shall mean the “Insertion OR Invoice Order” that incorporates theses terms and conditions and as mutually agreed between BMS and the “Client” under which the “Media Company” will provide the “Deliverable/ Deliverables” for the benefit of the “Client”.

Media Company shall mean any of the Companies/Agencies that are listed in the BMS online platform and which are named in the “IO”.

Package Booking shall mean booking of the Ad Content made by the Client with multiple Newspapers and/or different or all editions of the same Newspaper or with that of different Newspapers in a single IO raised.

Schedule Date shall mean the planned date for publishing of the Advertisement Material or Ad Content as mutually agreed upon by the Client and BMS.

Letter of Credit shall mean the document issued by BMS to the Client in lieu of and equivalent to the refund of Fee to be paid to the Client which can be redeemed for future transactions with BMS within the specified period of time.

Terms and Conditions:

Ad Content:

BMS is only an online marketplace for media and advertising industry. Our service is exclusively limited to getting Client’s advertisement published and nothing more.

Client shall be solely responsible for all the Advertisement Material or Ad Content delivered by the Media Company and any legal claims that may arise thereon.

BMS shall not be responsible and liable for any Copyright infringement/violation of Patents or any other legal claims made upon Client’s Advertisement Material or Ad Content.

Client shall indemnify BMS against any legal claims made or court verdicts that may be passed against BMS for the wrongful act committed by Client.

BMS shall not be responsible to match the exact color scheme of the published Advertisement Material or Ad Content with that of the content provided or created by the client on www.buymediaspace.com

BMS shall not be responsible to match exact font size and font family as Advertisement Material or Ad Content will be published as per the norms and practice of respective Media Company chosen by the Client upon which BMS does not have any authority or control.

Respective Media Companies shall have their own polices and terms with respect to publication of Advertisement Material or Ad Content and shall have the right to edit and modify the ad content to remove any objectionable content for which BMS shall not be liable or held responsible.

BMS will try to get the approval from the Client if any change or modification in the Advertisement Material or Ad Content is necessitated because of any circumstances. However, in case of paucity of time, BMS holds the right to go ahead with and publish the Advertisement Material or Ad Content with the modifications made thereon as if the same has been approved and acknowledged by the Client. The decision BMS has taken in this respect shall be final and binding and can not be questioned.

In case of any major discrepancy with respect to the published Advertisement Material or Ad Content with that of the originally provided content by the Client, then the said major discrepancy shall be brought to the notice of the management of BMS within 14 (Fourteen) days of publishing of Advertisement Material or Ad Content.

Display classified Advertisement Material or Ad Content will be resized to meet the column width as specified by the respective newspaper. However, BMS will ensure that the total size of the Advertisement Material or Ad Content for which the Client has made payment is published.

In case of “under billing” i.e. fee charged or levied happens to be less than that ought to have been charged or levied for the actual Ad content, BMS holds the right to modify the Advertisement Material or Ad Content to match up to the fee levied. The decision of BMS in this respect shall be conclusive and binding and cannot be questioned.

The Preview provided on BMS online platform is only for the purpose of “Viewing” and my not resemble the actual Advertisement Material or Ad Content published. Respective Newspaper publishing company may have different format of printing which may impact the ad format thereby causing changes in the Advertisement Material or Ad Content finally published upon which BMS hold no control or authority.

Scheduling And Publishing of Advertisement Material or Ad Content:

BMS will try best to get the booked Advertisement Material or Ad Content published as per the planned date of the Client (date selected during booking). However, for space constraint or non availability of space reported by the Media Company or due to the time taken in getting the required approval for change of Ad Content from the Client, BMS reserves the right to re-schedule the publication of the Ad Content to the next earliest possible date.

In case of booking of Ad Content as a “Package Booking” with multiple newspapers and/or editions then for all Newspapers/editions same date will be applied. In case of any newspapers/edition can not carry the Ad Content on that date, then the same shall be scheduled to the next earliest possible date.

Individual “Schedule Dates” for the packages containing multiple newspapers/ editions will not be entertained through application. Clients need to contact the back office of BMS specifically requesting in writing to get it planned that way.

BMS shall provide a single confirmation for the Ad Content booking made by the Client irrespective of whether the booking is for a single newspaper or a “Packaged Booking”.

The Client is duty bound to furnish all the supporting documents that has been called for by BMS at the time of booking of the Ad Content to be published. BMS reserves the right to withhold the Ad Content from getting published until the Client submits all the mandatory documents required to support the Ad Content. This may at times lead to re-scheduling of “Schedule Date” of publication for which BMS shall not be responsible and liable.

BMS shall provide a “scan copy” of the published Ad Content to the Client as proof of publication against the IO raised to the Client. If the Client requires physical copy of the publication of its Ad Content, the same shall be provided against payment of a nominal fee of Rs.100/- (Rupees hundred) towards processing charges upon written request by the Client.

Enhancement:

Execution of enhancement will be as per the practices of Respective Newspaper publishing company.

BMS shall not take any responsibility in matching the color, highlighter, border exactly with that of the illustration provided on the BMS online platform.

BMS will refund any amount collected towards enhancements, provided such enhancement were not carried out in the published Ad Content.

The Preview provided on www.buymediaspace.com is only for the purpose of Viewing. The actual execution of enhancement carried out by Media Company may vary from company to company.

In case of any dispute arising out of execution of enhancement, current practices of respective Media Company will be final and binding to all.

Billing And Refund:

Any discrepancy in the billing has to be brought into the notice of the Billing department of BMS within 15 (fifteen) days from the date of generation of Invoice.

Final settlement will be initiated only upon completion of the IO (Insertion or Invoice Order) and not any time before the Completion.

In case of refund of Fee paid is necessitated shall be made through Bank transfer (RTGS) only or in the form of “BMS Letter of Credit” which can be redeemed against any future transaction on BMS online platform.

In case of partial cancellation, all discounts and offers will be removed and the charges for the executed advertisements will be re-calculated. The final refund will be made according to the new calculated figures.

Cancellation Policy

If the advertisement is cancelled

7 or more days before Ad publish day: 15%

Between 7 to 4 days before Ad publish day: 20%

Between Less than 4 days before Ad Publish day: 25%

Less than 2 days from Ad publish days: 100%

Force Majeure:

Generally, excluding payment obligations, neither BMS nor the Client will be liable for delay or default in the performance of its respective obligations if such delay or default is caused by conditions beyond its reasonable control, including, but not limited to, fire, flood, accident, earthquakes, telecommunication line failure, electrical outages, network failures, riots, acts of god, or labour dispute (“Foce Majjeure event”). In such an eventuality, BMS and the client shall mutually decide upon the future course of action.

Indemnification:

Client will defend, indemnify, and hold harmless BMS, its Affiliates and Representatives from damages, liabilities, costs including Attorney fee and legal costs (collectively called as “Losses”) resulting from any claim, judgment, or proceeding, (collectively called as “Claims”) brought by any Third Party against BMS resulting from Client’s alleged breach of Copyright, Patent claims, any defamatory or obscene material contained in the Ad Content provided by the Client and which got published in the chosen Newspaper/s or its multi editions causing loss, damage or injury to such Third Party.

BMS reserves the right to change/modify/cancel any of the aforesaid terms without notice. Clients are requested to update their awareness from time to time to have a proper clarity and accurate understanding of BMS terms and conditions pertaining to newspaper Ad Content publication.
